5.2 Access to System. 5.2.1 Physical access and entry to the System will be subject to the written consent of OneCommunity, which may be withheld at the sole discretion of OneCommunity, and, if granted, then only upon the terms and conditions specified by OneCommunity. 5.2.2 OneCommunity will provide the Village with a Network Operations Center procedural manual that will include emergency contact information, upon execution of the Certificate of Final Acceptance. Section 6. Term and Termination. 6.1 Terms. This Agreement will begin on the Effective Date and continue thereafter for a term (the "Term") of five (5) years, unless earlier terminated as provided herein. 6.1.1 At the end of the Term, this Agreement will automatically renew for additional successive one (1) year periods (each a "Renewal Term") unless a Party gives written notice of an intent not to renew to the other Party no less than one-hundred eighty (180) days prior to the expiration of the Term or Renewal Term, unless otherwise mutually agreed upon between the Parties. The provisions of this Agreement will remain in full force and effect during any such renewals. 6.1.2 The term of the IRU granted by the Village to OneCommunity will be as set forth in the IRU Agreement attached hereto as Exhibit 2, and shall not be affected by the termination of this Agreement. 6.2 Termination of Required Rights. The Village acknowledges that OneCommunity may lease conduit and/or innerduct for the System from Facility Owners, and, therefore, this Agreement is subject to the terms and conditions of the Required Rights. Prior to expiration of the Term to the extent any Required Right becomes commercially impractical to renew, in the Village's sole opinion, the Village has the option to simultaneously and automatically terminate with respect to the applicable Major Segment(s) or part(s) thereof affected thereby, and the Village will be entitled to a refund of any amounts paid to OneCommunity hereunder, but not including actual, documentable expenses incurred by OneCommunity prior to the notice of termination. 6.3 Effect of Termination. No termination of this Agreement will affect the rights or obligations of any Party hereto: 6.3.1 with respect to any payment hereunder for services rendered prior to the date of termination, unless such payments are subject to good faith dispute; 6.3.2 pursuant to other provisions of this Agreement that, by their sense and context, are intended to survive termination of this Agreement; and 6.3.3 with respect to the IRU Agreement. 6.4 Termination by The Village. 8 As of 09/29/2009
