MUTUAL EXCHANGE OF SERVICES AGREEMENT <br />This Agreement is entered into this day of , 2015, by and between <br />HAYFIELD VILLAGE, OHIO, an Ohio municipal corporation, the HAYFIELD CITY <br />SCHOOL DISTRICT, whose tax mailing address is 1101 SOM Center Road, Mayfield Heights, <br />Ohio 44124, HIGHLAND HEIGHTS, OHIO, an Ohio municipal corporation and HAYFIELD <br />HEIGHTS, OHIO, an Ohio Municipal corporation, (hereinafter individually a "Parry," or <br />collectively "Parties"). <br />WHEREAS, it is the expressed desire of HAYFIELD VILLAGE, the HAYFIELD <br />CITY SCHOOL DISTRICT, HIGHLAND HEIGHTS and HAYFIELD HEIGHTS to enter into <br />a mutual exchange of services agreement for the interchange of reciprocal emergency <br />management assistance or aid in the form of lifeguard services between and among their Parties, <br />as deemed necessary, on an as needed basis; and situations contemplated under Ohio Revised <br />Code ("R.C.") § 5502.29 including, but not limited to, a Planned Event as defined by R.C. § <br />5502.41(A)(5); <br />WHEREAS, this mutual exchange of services agreement will provide HAYFIELD <br />VILLAGE, the HAYFIELD CITY SCHOOL DISTRICT, HIGHLAND HEIGHTS and <br />HAYFIELD HEIGHTS the access to each other's lifeguard staff, for Planned Events and as <br />deemed necessary, on an as needed basis, and as agreed between the Parties, as the need may <br />arise within the respective individual jurisdictions wherein current staffmg is deemed inadequate; <br />and <br />WHEREAS, this mutual exchange of services agreement will allow for the provision of <br />reciprocal services across jurisdictional lines, enhance the capabilities of each Party to provide <br />lifeguard staff to meet staffing requirements and extend recreational pool access through Labor <br />Day weekend for at least one (1) of the three (3) municipal pools, and/or the indoor pool located <br />at the 1Vlayfield High School, within the jurisdiction of the respective Parties. <br />THEREFORE, this Agreement is entered into upon the following terms and conditions, <br />by and between the Parties hereto, with the mutual promises of each to the other as consideration <br />therefore: <br />I. PRIMARY RESPONSIBILITY. <br />No provision of this Agreement shall be construed so as to place liability upon any other <br />Party for failure to fulfill a request for services. <br />Page 1 of 6 <br />
