EASEMENT AGREEMENT <br />THIS EASEMENT AGREEMENT ("Agreement") is entered into this day of <br />2002, by and between MAYFIELD VILLAGE, OHIO, an Ohio municipal <br />corporation ("Grantor"), having a mailing address of 6621 Wilson Mills Road, Mayfield Village, Ohio <br />44143 and GOVERNOR'S VILLAGE, LLC, a Michigan limited liability company ("Grantee"), having <br />a mailing address of 280 North Commons Boulevard, Mayfield Village, Ohio 44143. <br />RECITALS: <br />A. Grantor is the owner of certain parcels of real properly located in Mayfield Village, <br />Cuyahoga County, Ohio, known as being Permanent Parcel Nos. 831-05-35 and 831-05-44 (the <br />"Premises"), as shown on the Lot Split Plat of Survey of P.P.N. 831-04-4, known as 280 North <br />Commons Boulevard, approved by the City Council of Mayfield Village, Ohio on December 17, 2001 <br />and recorded on , 2002 as Instrument No. of Cuyahoga <br />County Records ("Plat"), and shown on the site plan attached hereto as Exhibit "A" and made a part <br />hereof ("Site Plan"). <br />B. Grantee is the owner of two (2) certain parcels of real property, Parcel #1, consisting of <br />approximately 4.2945 acres ("Parcel #1") and Parcel #2, consisting of approximately 3.5135 acres <br />("Parcel #2") (Parcel #1 and Parcel #2 are hereinafter sometimes referred to as the "Parcels'?, as shown <br />on the Plat. Parcel #2 is in part contiguous to the Premises. Parcel #2 is contiguous to Parcel #1. The <br />Parcels are more particularly described on Exhibit `B" and Exhibit "C", each attached hereto and made <br />a part hereof, and shown on the Site Plan. <br />C. Grantor desires to grant to and for the benefit of Grantee, its successors and assigns and <br />the fee owners, from time to time, of Parcel #1 and Parcel #2, certain rights and easements upon the <br />"Easement Areas" (hereinafter defined), which Easement Areas are depicted on the Site Plan.
