NOW, THEREFORE, in consideration of One Dollar ($1.00) and other good and valuable <br />consideration given to Grantor by Grantee, the receipt and sufficiency of which are hereby <br />acknowledged, Grantor hereby grants, conveys, assigns, covenants and agrees as follows: <br />1. IncoMoration of Recitals. Recital Paragraphs A, B and C above are hereby incorporated <br />into this Agreement as if fully set forth herein. <br />2. Grant of Easements. Grantor hereby grants, conveys and assigns to Grantee, its <br />successors and assigns: (a) a perpetual, non-exclusive easement and right of way in, over, under, across <br />and through: (a) that portion of the Premises more particularly described on Exhibit "D" attached <br />hereto and made a part hereof for ingress and egress by vehicular and pedestrian traffic to and from the <br />Parcels to North Commons Boulevard, for the installation, operation, maintenance, repair and <br />replacement of utility lines for water, storm sewer, sanitary sewer, electricity, gas, cable, telephone and <br />other utility services and for parking (the "Access/Utility/Parking Easement Area") and as depicted on <br />the Site Plan; and (b) that portion of the Premises more particularly described on Exhibit "E" attached <br />hereto and made a pa.rt hereof for the installation, maintenance, lighting, landscaping, repair and <br />replacement of one (1) identification sign for the benefit of the owners, from time to time, of Parcel #1 <br />and Parcel #2 ("the Sign Easement Area"). The Access/LTtility/Parking Easement Area and the Sign <br />Easement Area are hereinafter collectively referred to as the "Easement Areas". <br />3. Maintenance. Grantee shall maintain or cause to be maintained the Easement Areas at <br />no cost or expense to Grantor. <br />4. Use and Benefit. The easements and rights granted herein shall: (i) be deemed <br />appurtenant to Parcel #1 and Parcel #2; (ii) benefit Grantee and the fee owner(s) from time to time of <br />Parcel #1 and Parcel #2; (iii) burden the Premises in the manner herein set forth; and (iv) be deemed <br />to be covenants that run forever and perpetually with the land. <br />-2-
