6. l.l_2 the non-defaulting Party sends notice of such breach describing the breach <br />with reasonable specificity, and, <br />6.1.1.3 during the thirty (30) day period following notice thereof, the defaulting <br />Party either: <br />6.1.1.3.1 fails to cure the breach, or <br />6.1. I.3.2 fails to present an acceptable; plan for curing the breach <br />6.1.2. Either Patty shall have the right to ternunate this Agreemcal immediately, in <br />whole or in part, upon•wrilten notice to the other if the other Party. <br />6.1.2.1 ceases to do business as a goinb concern; <br />6.1.22 makes an assignment of its assets for the benefit of its creditors; <br />5.1.2.3 is unable or adatils in writing its inability to pay its debts as they become <br />due; <br />6.1.2.4 becomes insolvent, suspends or abandons its business; <br />6.1.2.5 authorizes, applies for, or consents to the appointment of a trustee or <br />receiver of all or a substantial portion of its assets; <br />6.1.2.6 files a voluntary petition under any bankruptcy or insolvency law or files <br />a voluntary petition under the.reorganization provisions of the laws of the <br />United States; <br />6.1.2.7 a court assumes jurisdiction over the assets of that Party; or <br />6.1.2.8 loses its tax~xetnpt, non-profit status. <br />6.2 Confid 'al Information. Por purposes of this Agreement, "Cor~dential InI'orxnalion" <br />shall mean information or material proprietary to a Party or designated by it as <br />confidential, which is disclosed by one Party to the other. Confidential Information <br />includes, but is not limited to, materials, designs, specifications, techniques, models, data, <br />diagrams, software in various stages of development, source code, object code, <br />documentation, research data, processes, procedures, and "know how", whether disclosed <br />visually, orally, or in writing; provided, however, that orally disclosed information must <br />be identified as Confidential at the time of oral disclosure and confirmed in writing within <br />thirty (30) days of its oral disclosure. This Section shall not apply, however, ,to <br />Confidential Information which: <br />5.2.1, is now or will onto the public domain as the result of its disclosure in a <br />publication, the issuance of a patent, or otherwise without the legal fault of the <br />receiving Party; <br />
