6.2.2. was in the possession of the receiving Party in written form at the time of the <br />disclosure by the other Party or was developed by the receiving Party alone or in <br />collaboration with a thitd party without the l~towledge of the Confidential <br />Information; <br />~-2.3. comes into the hands of the receiving Party by means of a third party who is <br />entitled to make such disclosure and who has no obligation of confidentiality <br />toward the disclosing Party; <br />6.2.4. must be disclosed pursuant to a court order or as ptlterwisc required by law; <br />6.2.5. is now, or which hereafter, through no actor failure to act on either Party's part, <br />becomes generally known or available; <br />6.2.G. is hereafter furnished to others by the disclosing Party without restriction on <br />disclosure; or <br />6.2.7. material related to this agreement by the ST'A only through its transmission over <br />any network facilities other than a transmission intended to be and in fact <br />received only by CW1tU, the STA accepting responsibility for ectcrypting any <br />transmission which it considers to be of a eonlidenlial nature prior to <br />transmission_ <br />All Confidential Information shall be and rernain the sole property of the disclosing <br />Party_ No license or conveyance of any rights is implied by the disclosure of <br />Cortftdential Information, and no further use of the Confidential Infonmation may be <br />made by the receiving Party without the written consent of the disclosing Party. At the <br />disclosing Party's request or promptly upon termination of this Agreement, whichever <br />fizsi occurs, any and all copies of such Contiderttial Information in the receiving Party's <br />possession or under its control shall be returned W the disclosing Party. <br />The receiving Party agrcc;s to hold in confidence and not to publish, transfer or otherwise <br />disclose any Confidential Information, duectly or indirectly, to any person or entity for a <br />period of five (5) years after disclosute to the receiving Party. The receiving Party shall <br />use the same degree of care that it would use to protect its own confidential information, <br />but in any case no less than the degree of care that a reasonably prudent business would <br />exercise under similar circumstartees. Disseminati0rt Of Confidential Information within <br />the receiving Party's organization shall be limited to those employees who have a need to <br />lmow for purposes of this Agreement. The receiving Party further agrees not to use the <br />Confidential Information for any purposes other than those contemplated by this <br />Agreement. <br />The Parties agree that the obligation shall survive the non renewal or termination of the <br />Agreement. <br />6.3 Publicity "Ihe Parties will jointly develop and distribute periodic press releases <br />addressing activities and initiatives under the Agreement. Neither Party will issue a press <br />relr:ase that deals with the technology and Services, or the relationship or activities of the <br />Parties under this Agreement, without the prior written consent of the other. <br />4 <br />
