6.4 Vendor Relationships. 6.4.]_ CWRU believes that the Vendor Ageements contain advantageous terms, conditions, and prices pursuant to which STA may obtain products and/or services and of which STA may wish to avail itself. Further, CWRU will pursue additional Vendor Agreements in the future and seek to contract for permission for its Affiliates to participate therein. Since some of. the Vendor Agreements contain or will contain confidentiality provisions, STA will be required to execute confidentiality agreements satisfactory to the Vendors prior to reviewing the Vendor Agreements. STA shall notify CWRU of each Vendor Agreement in which it has determined to participate. . 6.4.2. Upon execution of appropriate confidentiality agreements, CWRU will disclose copies of Vendor Agreements or applicable portions thereof to STA and STA may choose whether to participate in such Vendor Agreement(s). 6.4.3. The: STA agrees to honor all terms of Vendor Agreements as they relate to the S f'A in which ii determines to participate. 6.4.4. In cases where the STA obtains products or services directly from the Vendor, STA, if requested to do so by CWRU, will provide CWRU with order information, ineluditig, but not necessarily limited to, copies of purchase orders used to purchase products and services al the time of purchase from Vendors. 6.5 STA Affitiatec. CWRU' recognizes that the STA may have business relationships or affiliations withvendors or affiliates or other parties. This Agreement is an agreement solely between CWRU and the STA, may be subject to further limitation pursuant to the tenors of Vendor Agreements, and may not be extended in any case to any other party without prior written consent of CWRU. 6.(~ Collaborative Efforts. 6.6_l. CWRU will host an annual 5trategie Technology Forum to aid affiliates in the University Circle area .including the 5TA with technolo6ry pl<wning and budgeting. STA agrees to send appropriate representatives to such forams during the term of this Agreement. 6.6.2. 'CWRU v-vill offer Alpha and Beta Products io the STA from tune to time for review and assessmegt. If the STA elects lA participate, STA will provide CWRU with comments in a format satisfactory to both Parties_ 6.6.3_ CWRU will support the STA's expanded capacity requiretxients for research and testing whenever possible. 6.7 Limitation of. LiabilitX. The Parties are entering into this Agreement in a spirit of cultural, educational and research cooperation. The STA acknowledges that CWRU is not iu the business of constructing or maintaining cornmuniieatioils networks, or the provision of products or services or information services.
