WHEREAS, Mayfield Village is willing to undertake the responsibilities <br />specified in this First Modification as to Mayfield Village; <br />NOW, THEREFORE, in consideration of the mutual promises and <br />agreements hereinafter set forth, Purveyor, Customer, and Mayfield Village agree <br />as follows: <br />ARTICLE I. TWO-WAY EMERGENCY INTERCONNECTION <br />A. A credit master meter ("Credit Meter") and register master meter <br />("Register Meter's and Vault shall be installed by Mayfield Village at Mayfield <br />Village's expense between Lake County and Cleveland at the SOM Center <br />Road/White Road intersection. The Credit Meter shall measure emergency water <br />service provided to Purveyor's water system. The Register Meter shall measure <br />emergency water service provided to Customer. <br />B. Mayfield Village shall, at Mayfield Village's expense, install two <br />check valves, each with a by-pass assembly ("Check Valve(s)") south of North <br />Chagrin Parkview Drive (one on SOM Center Road and one on North Chagrin <br />Commons Boulevard), which will prevent the flow of water south of the Check <br />Valves during those times when water is being fed to Purveyor from Customer <br />via the Credit Meter. "Check valve" shall mean a device that permits the transfer <br />of water in only one direction. <br />A third Check Valve shall be installed in series with the Credit Meter at the <br />SOM Center Road/White Road intersection and shall be set to automatically open <br />and supply water from Customer into Purveyor's distribution system if Purveyor's <br />3 <br />
