Director of Finance of the Village of Mayfield, in sufficient time <br />to permit transfer of title on the date set forth in Paragraph 5. <br />This Agreement shall be considered by the Escrow Agent as escrow <br />instructions. <br />5. TITLE TRANSFER. OCCUPANCY AND POSSESSION: <br />A. Title Transfer. Title shall transfer to Buyer by the I,ltl~ <br />~.( <br />recording of the deed on or about March 15, 1995, unless such date <br />Escrow Agent shall de liver <br />is changed by agreement of Buyer and Seller. Seller's net proceeds due <br />herein to Seller within twenty-four (24) hours after title transfer . <br />B. Occupancy and Possession. Seller shall deliver possession ~,~~~~ <br />. _,. <br />of the Property to Buyer on or about March 15, 1995, or upon <br />transfer of title, whichever is later. However, Seller may <br />consider a month to month lease with the existing tenant thereby <br />modifying this paragraph accordingly. <br />6. PROBATIONS, CHARGES AND CREDITS: <br />A. Charges Against Seller. Seller shall be charged with the <br />following costs, to be deducted by the Escrow Agent from funds due <br />Seller: (1) the costs of satisfying any taxes, assessments, liens <br />or encumbrances required to be discharged by this Agreement, and <br />(5) the amount of any prorations due Buyer under this Agreement. <br />B. Charges Against Buyer. Buyer shall be charged with the <br />following costs, if any, or to be paid by Buyer prior to transfer <br />of title: (1) the-cost of the Location Service or Survey, (2) the <br />cost of any examination of title and Title Guaranty, (3) the costs ,; <br />all <br />incident to filing the Deed, (4) ~rae~hx~~x~~~ of the escrow fees, <br />y; and (5) cost of any conveyance fees or real estate transfer <br />if an ~~~ <br />taxes. <br />C. Other Charges. Taxes and assessments, both general and <br />special, shall be prorated by the Escrow Agent as of the date of <br />transfer based on the last available tax duplicate. <br />
