Mayfield Village <br />Creative Microsystems, Inc. <br />GENERAL SOF°I'WARE NOTES <br />LICENSE FEES <br />The License Fee provides you with a perpetual license to use the software so long as you observe the conditions in the license <br />agreement. The license fee includes access to source code to the CMI software. <br />TRAIIVING <br />The cost of the training listed next to each application includes training for two persons for the number of days indicated. This <br />"hands on" training is held at the CMI training center neaz Dayton, Ohio. If you require training for additional persons, the cost <br />shall be $150 per person per day. In special situations, on-site training can be ananged if adequate facilities are provided by the <br />CUSTOMER, the cost shall be negotiated at time of sale and stated within this agreement. <br />INSTALLATION SERVICES <br />The Support Services cost represents the standard amount of on-site support needed to implement the software application <br />completely and successfully. The support service cost includes the number of days of on-site assistance listed next to the <br />application. CMI reserves the right to provide half days when appropriate and to use 2 hours out of each 8 hour day for travel <br />when working on-site. However, the CUSTOMER will pay no per diem travel costs incurred by CMI support personnel. <br />SOFTWARE SUPPORT SERVICES <br />.7he Annual Software Support Cost includes telephone and modem support. Our technical support staff near Dayton, Ohio will <br />answer questions and if necessary will log onto your system via modem to relieve problems. If you require on-site assistance, it <br />will be provided on a hourly basis at the CMI support rate which is currendy $55.00 per hour. First year software support is <br />required for all applications. CMI Software Support also includes annual software updates and is required annually for all <br />software applications which involve annual updates. The cost of remote Softwaze Support for the first year is stated on <br />Addendum A of this agreement for reference purposes. However, a separate Software Support Agreement is required. All <br />clients NOT on a CMI Software Support Agreement will be invoiced for all support services provided at our current support rate <br />and software updates will be invoiced at a cost representative of the upgrade cost. <br />MODIFICATIONS <br />The costs listed above aze for our standard software applications as defined in our software overviews. Arrangements for special <br />modifications will be considered at a cost proportionate to the extent of the modification. Special consulting and software <br />development and modifications can also be arranged as needed at the then current hourly rates. <br />TERMS <br />License Fee 100% Lease/Purchase, via Liberty National <br />Support Services Cost 100% Included in Lease/Purchase <br />Annual Software Support - Yr 1 100% Included in Lease/Purchase <br />Annual Software Support - Yr 2- 100% upon invoice, CMI Software Support <br />?
