condition. If Licensees shall fail to remove any Communications Equipment <br />within fourteen (14) days of the termination of this Agreement, such Communi- <br />cations Equipment shall be deemed abandoned by Licensees and shall be disposed <br />of in any manner that Licensor may see fit. Licensees shall remain liable for <br />any damages that Licensor may suffer by reason of Licensees' and/or their <br />agents' breach of any of the terms, conditions or covenants of this Agreement. <br />11. Taxes: Licensees shall indemnify, defend and hold harmless the <br />Licensor, its partners and agents, from any and all claims, damages, actions, <br />causes of action, proceedings, assessments, charges, taxes and liabilities, <br />including costs, expenses and attorney fees, arising out of or in any way <br />connected with any increase in real estate taxes that may be attributable to <br />any improvement to the Premises made by Licensees. Licensees shall also pay <br />any personal property taxes attributable to its Communications Equipment. <br />12. Insurance: Licensees shall, at their expense, maintain in force <br />during the term of this Agreement and any extension thereof, State of Ohio <br />Workers' Compensation coverage and comprehensive public liability and property <br />damage insurance, with a combined single limit of not less than One Million <br />and 00/100 Dollars ($1,000,000.00), and insuring Licensor and Licensees <br />against all liability arising out of the use, occupancy, or maintenance of the <br />Premises and appurtenant areas, which policy shall be endorsed as a primary <br />insurance to Licensor and shall contain a provision that it shall not be <br />cancelled or changed prior to giving Licensor thirty (30) days' written <br />notice. Licensees shall provide proof of such current Workers' Compensation <br />and insurance coverage prior to the execution of this Agreement and throughout <br />the duration of this Agreement. <br />13. Assignment and Subletting: Licensees may not assign or sublet the <br />Leased Premises or any part thereof. <br />[6] <br />
