LICENSE AGREEMENT <br />THIS AGREEMENT, made as of the day of 2006, by and <br />between PROGRESSIVE CASUALTY INSURANCE COMPA , an Ohio corporation, 6300 <br />Wilson Mills Road, Mayfield Village, Ohio 44143 (hereinafter referred to as "LICENSOR"), and <br />Mayfield Village, Ohio an Ohio Municipal Corporation, 6622 Wilson Mills Road, Mayfield <br />Village, Ohio 44143-3499 (hereinafter called the "LICENSEE"). In consideration of the <br />performance and the observance of the conditions hereinafter contained and other good and <br />valuable consideration, the Licensor and Licensee agree as follows: <br />1. Licensor does hereby grant to the Licensee the right to construct, maintain, patrol, <br />and use the premises for an all purpose, non-vehicular public hiking and biking trail, and related <br />purposes, being located as shown on the drawing marked Exhibit "A", (collectively referred to as <br />the "Premises"), attached hereto and made a part hereof. Permanent Parcel Nos. 831-11-031 and <br />831-13-015. <br />2. This License shall be in full force and effect for a period of one (1) year <br />commencing as of the day set forth above and ending on the 31St day of December 2006 <br />("Term") and shall continue on a year-to-year basis thereafter until canceled by either party by <br />ninety (90) days' written notice. <br />Licensee shall have the right, as its sole risk and expense, to use the Premises <br />under such terms and conditions as it deems necessary and to allow the public to use the <br />Premises for an all purpose, non-vehicular hike and bike trail and related purposes and shall <br />provide all facilities, safeguards and equipment necessary or desirable for such purpose. <br />-1- <br />I:\LEGAL\Dmc\IA41348 (Ml)Ticense.Agnnt.Discover.doc
