LICENSE AGREEMENT <br />THIS AGREEMENT, made as of the day of <br />2006, by <br />and between Skoda, Minotti Properties LLC, (hereinafter called the "LICENSOR"), for and in <br />consideration of the perfornzance and the observance of the conditions hereinafter contained <br />and other good and valuable considerations received of the Village of Mayfield, Ohio an Ohio <br />Municipal Corporation, (hereinafter called the "LICENSEE"), does hereby grant to the <br />Licensee, a revocaUle license to constilict, maintain, clean, patrol, and use the premises as <br />shown on the drawing marked Exhibit "A", (collectively referred to as the "Premises") <br />, <br />attaclied hereto and made a part hereof for the limited puiposes of a non-vehicular public <br />hiking and biking trail, and to facilitate and install a fiber optic network throughout the Village. <br />The License and perinission hereby granted is subject to the following conditions: <br />This License shall be in full force and effect cominencing on the date hereof and <br />shall continue until canceled by either party by ninety (90) days' written notice to the other. <br />2. Licensee shall have the right, as its sole risk and expense, to use the Premises <br />under such temis and conditions as it deeins necessary and to allow the public to use the <br />Preinises for a non-vehicular hike and bike trail and to facilitate and install a fiber optic <br />network throughout the Village, and shall provide all facilities, safeguards and equipment <br />necessary or desirable for sucli purpose. <br />Licensee will employ and provide, at its sole expense, the supervision, <br />attendants and other personnel as may be necessary to police, operate and maintain the <br />Premises for such purpose.
