<br />LICENSE AGREEMENT <br />THIS AGREEMENT, made as of the ,j day of 20Q4, vy <br />and between Mayfield Investments, Inc., 25101 Chagrin Boulevard, Suite 30, Beachwood, <br />Ohio 44122, (hereinafter refen-ed to as "LTCENSOR"), and Mayfield Village, Oliio an Ohio <br />Municipal Coiporation, 6621 Wilson Mills Road, Mayfield Village, Ohio 44143-3499 <br />(hereinafter called the "LICENSEE"). In consideration of the perfonnance and the observance <br />of the conditions hereinafter contained and other good and valuable consideration, the Licensor <br />and Licensee agree as follows: <br />1. Licensor does hereby grant to the Licensee the right to construct, maintain, <br />patrol, and use a certain portion of the premises located at (the "Premises") for <br />an all purpose, non-vehicular public hiking and biking trail, and related purposes, which <br />portion is located as shown on the drawing marked Exhibit "A", (collectively referred to as the- <br />"Trail"), attached hereto and made a part hereof. Licensee agrees and acknowledges that the <br />location of the Trail is subject to change at Licensor's sole discretion upon thirty (30) days <br />written notice to Licensee. In the event Licensor elects to have the Trail relocated, Licensee, at <br />its sole cost and expense, shall install the new Trail, restore the old Trail to its previous <br />condition and this agreement shall be amended to reflect such new location. <br />2. This License shall be in full force and effect for a period of one (1) year <br />commencing as of the day set forth above and ending on the 31 St day of December 2005 <br />("Term") and shall continue on a year-to-year basis thereafter until canceled by either party by <br />ninety (90) days' written notice. In the event Licensor sells all or any portion of the Premises, <br />Licensor (or such purchaser) may terminate this License upon thirty (30) days written notice to <br />Licensee. <br />EXHIBIT <br />? <br />1 ?
