The participating municipalities further agree that if the Mobile Air Rescue Unit 577 should respond to anon-participating community, the non- participating community shall be assessed an initial fee of Five Hundred Dollars ($500.00) and an additional fee of One Hundred Dollars ($100.00) for each hour of response, calculated on a half hour basis. Said response fee shall be waived for any non-participating community which is able to provide reciprocal services. Fees assessed and paid by anon-participating community shall be deposited in the annual maintenance fee fund for the use of the Mobile Air and Rescue Unit 577 or training and monitoring of the members of the Mobile Air Rescue Unit 577. 12. The Village of Mayfield agrees that the participating municipalities will be listed as an additional insured with respect to insurance coverage on the Mobile Air Rescue Unit 577. Any and all costs associated with the licensing and/or insurance on such vehicle shall be borne equally between the participating municipalities. 13. It is intended that this Agreement operate separate and apart from any and all mutual aid agreements currently in existence, or entered into by and between any of the participating parties to this Agreement, and it is intended that no existing Agreements, whether mutual aid agreements or otherwise, are to be affected or otherwise modified by this Agreement. • 14. Any participating municipality to this Agreement may terminate or discontinue its respective rights, obligations and duties under this Agreement effective January 1 of the following year by providing the other parry with advance written notice of its intention to withdraw by no later than June 30 of the preceding year. 15. No participating municipality may assign any portion of this Agreement, or any of its rights or obligations hereunder, whether by operation of law or otherwise, without the express written consent of the other participating municipalities. 16. This Agreement shall be binding on and inure to the benefit of the participating municipalities, and their legal representatives. No participating municipality may assign any portion of this Agreement without the express written consent of the other participating municipalities, representatives, and assigns, wherever permitted in this Agreement or by operation of law. 17. This Agreement shall not be modified or amended in any manner except by the written agreement of all participating municipalities, by an authorized representative and which written agreement specifically references this Agreement. 4
