,. <br />. 11. The participating municipalities further agree that if the Mobile Air Rescue <br />Unit 577 should respond to anon-participating community, the non- <br />participating community shall be assessed an initial fee of Five Hundred <br />Dollars ($500.00) and an additional fee of One Hundred Dollars ($100.00) for <br />each hour of response, calculated on a half hour basis. Said response fee shall <br />be waived for any non-participating community which is able to provide <br />reciprocal services. Fees assessed and paid by anon-participating community <br />shall be deposited in the annual maintenance fee fund for the use of the Mobile <br />Air and Rescue Unit 577 or training and monitoring of the members of the <br />Mobile Air Rescue Unit 577. <br />12. The Village of Mayfield agrees that the participating municipalities will be <br />listed as an additional insured with respect to insurance coverage on the <br />Mobile Air Rescue Unit 577. Any and all costs associated with the licensing <br />and/or insurance on such vehicle shall be borne equally between the <br />participating municipalities. <br />13. It is intended that this Agreement operate separate and apart from any and all <br />mutual aid agreements currently in existence, or entered into by and between <br />any of the participating parties to this Agreement, and it is intended that no <br />existing Agreements, whether mutual aid agreements or otherwise, are to be <br />affected or otherwise modified by this Agreement. <br />• 14. Any participating municipality to this Agreement may terminate or discontinue <br />its respective rights, obligations and duties under this Agreement effective <br />January 1 of the following year by providing the other parry with advance <br />written notice of its intention to withdraw by no later than June 30 of the <br />preceding year. <br />15. No participating municipality may assign any portion of this Agreement, or <br />any of its rights or obligations hereunder, whether by operation of law or <br />otherwise, without the express written consent of the other participating <br />municipalities. <br />16. This Agreement shall be binding on and inure to the benefit of the <br />participating municipalities, and their legal representatives. No participating <br />municipality may assign any portion of this Agreement without the express <br />written consent of the other participating municipalities, representatives, and <br />assigns, wherever permitted in this Agreement or by operation of law. <br />17. This Agreement shall not be modified or amended in any manner except by the <br />written agreement of all participating municipalities, by an authorized <br />representative and which written agreement specifically references this <br />Agreement. <br /> <br />4 <br />
