Section 17. CORPORATE QUALIFICATIONS TO BE <br />MAINTAINED. <br />17.1 Corporate Qualifications <br />The Permittee shall maintain and preserve its corporate existence, its business, and all of its <br />rights and privileges necessary or desirable in the normal conduct of said business. The Permittee <br />shall maintain its good standing in its state of incorporation and continue to qualify to do business and <br />remain in good standing in a foreign jurisdiction in which it conducts business. All of the properties, <br />assets and equipment of the Facilities and the System shall be maintained in good repair, working <br />order and good condition. Process in any action, legal proceeding or procedure under this Permit or <br />in any way related to this Permit may be served on the Permittee either in person, or by registered <br />mail addressed to the Permittee at the address set forth herein or any update thereof. <br />Section 18. AMENDMENT TO PERMIT. <br />18.1 Permit Amendments <br />At any time during the term of this Permit, the Council, the Mayor or the Permittee may <br />propose amendments to this Permit by giving thirty (30) days written notice to the other of the <br />proposed amendment(s) desired, and both parties thereafter, through their designated representatives, <br />• will, within a reasonable time, negotiate in good faith in an effort to agree on mutually satisfactory <br />amendment(s). Nothing contained in this Section shall be construed as limiting the parties' ability to <br />agree to amend this Permit, as provided for herein. This Permit may only be amended in writing, by <br />Ordinance enactment by the Council for the Village. <br />Section 19. GOVERNING LAW. <br />19.1 Governing Law <br />This Permit shall be deemed to be executed in the Village of Mayfield, State of Ohio and shall <br />be governed in all respects, including validity, interpretation and effect, and construed in accordance <br />with the laws of the State of Ohio, as applicable to contracts entered into and to be performed entirely <br />within Ohio. For the purposes of the rights granted herein, this Permit shall be deemed to be a <br />licensee. <br />~~ <br />~~ 30 <br />
