drives shall be cleaned twice daily in a twelve (12) hour <br />period as needed. Two passes will be made to assure clean <br />passage of drives. Driveways will be marked of those <br />residents who participate in the program and also to identify <br />the edge of the drives. The Village shall. provide the <br />Contractor with a current list of elderly residents that such <br />snowplowing services shall be provided for. <br />3. The Village will pay the Contractor in five (5) equal monthly <br />installments commencing Novemberl, 1990, and continuing <br />thereafter on the 1st of each month for a period of five (5) <br />months. <br />4. It is the controlling intention of both the Village and . <br />Contractor that the Contractor shall at all times occupy <br />the status of an independent contractor and not that of <br />any employee, agent or legal representative of the Village. <br />5. In the event that Contractor requests permission to park <br />Contractor-owned vehicles on Village property and the Service <br />Director/Building Commissioner grant such permission, it is <br />understood and agreed that the Village assume no liability <br />whatsoever for any damage, vandalism or destruction, whether <br />minor or major, to said vehicles while parked on said prop- <br />erty, nor will any damage, vandalism or destruction of said <br />vehicles be considered to excuse the Contractor from its <br />obligation to perform under this Contract. <br />6. All provisions of the Contract documents including the bid <br />specifications and bid proposal. (attached hereto and marked <br />Exhibit "A and B" respectively), shall be complied <br />with and conformed to by the Contractor, and no amendment to <br />this Contract shall be made except upon the written consent <br />of the parties. <br />No amendment shall be construed to release either <br />party from any obligation of the Contract documents except <br />as specifically provided for in such amendments. <br />7. This Contract is entered into subject to the following <br />conditions: <br />A, The Contractor shall procure and keep in full <br />force and effect throughout the term of this <br />Contract all of the insurance policies and <br />certificates including, but not limited to, <br />motor vehicle insurance, public liability and <br />property damage insurance. <br />B. In the event that any provision or portion thereof ~~ <br />of any Contract document shall be determined to be <br />invalid or unenforceable by any Court of Law, then <br />the parties hereto shall negotiate in good faith <br />
