and agree to such amendments, modifications or supplements of or to the Contract documents as shall, to the maximum extent practical in light of such determinations, implement and give effect to the intentions of the parties as reflected herein. The other provisions of the. Contract documents shall, as so amended, modified or supplemented, remain in full force and effect. 8. Contractor shall indemnify and save harmless the Village and all of its executives, representatives, officers, agents, employees, successors and assigns, jointly and severally, of and from all manner of losses: suits, actions, payments, costs, charges, damages, judgments, reasonable attorney fees or claims and demands of any character, name or description occasioned by or attributable to any injuries or damages received or sustained by any person, persons or property by reason of any act, omission, neglect or misconduct of said Contractor, his agents or employees in the performance of any work and/or service under the contract. 9, This Contract may be assigned by the Contractor to any of its affiliates with the prior written consent of the Village. This Contract shall be binding upon the respective successors and assigns of the Contractor, who shall continue the Con- tract in the event of the dissolution and/or merger provided that in the event the Contractor shall be adjudged insolvent. or bankrupt, or shall make an assignment for the benefit of creditors, the Village shall have the right to terminate such Contract and to make appropriate arrangements for providing snowplowing service to residents of the Village.
