' 6. All provisions of the Contract documents shall be <br />complied with and conformed to by the Contractor, and <br />no amendment to this Contract shall be made except upon <br />the written consent of the parties. <br />No amendment shall be construed to release either <br />party from any obligation of the Contract documents. <br />except as specifically provided for in such amendments. <br />7. This Contract is entered into subject to the following <br />conditions: <br />A. The Contractor shall procure and keep in full <br />force and effect throughout the term of this <br />Contract, all of the insurance policies and <br />certificates set forth in the Contract documents <br />attached as "Exhibit A" including, but not limited <br />to, Equal Opportunity Clause Form, Certificate of <br />Insurance, Certificates of Compliance with the <br />Ohio Workers'-Compensation Laws and other <br />requirements as set forth in said Contract <br />documents. The Contractor agrees to name <br />Mayfield Village as additional named insured under <br />said insurance policies, however, the Certificate <br />~~`_ Holder shall not be included as.~an Additional <br />~~ Insured for the willful misconduct or negligence <br />of the Certificate Holder. <br />B. ~ The contractor shall'. not be'"- liabl"e for. the failure ~.. <br />to wholly perform his duties if such-failure is . <br />caused by a catastrophe, riot, war, governmental <br />order or regulation, fire, accident, Act of God or <br />other similar or different contingency beyond the <br />reasonable control of the Contractor.: In the. <br />event of a strike by Contractors employees, the <br />Contractor shall use its best efforts to comply:;,,.,.,. <br />with.the Contract using supervisory or any other <br />personnel. If Contractor cannot comply with the <br />above, the Contractor shall lease to the Village <br />at a commercially reasonable rate, the equipment <br />necessary for the Village to furnish rubbish <br />removal for its citizens. <br />C. In ,the event that any provisions or portion <br />thereof of any Contract document shall be , <br />.determined to be invalid or unenforceable by any <br />Court of Law, then the parties hereto shall <br />negotiate in good faith and agree to such <br />amendments, modifications or supplements of or to <br />the Contract documents as shall, to the maximum- <br />extent practical in light of such determinations, <br />• 3 <br />
