snowplowing services shall be provided for. <br />3. The Village will pay the Contractor in five (5) equal <br />monthly installments commencing November, 1991, and <br />continuing thereafter on the 1st of each month .for a <br />period of five '(5) months. <br />4. It is the_.controlling intention of both the Village and <br />Contractor that the Contractor shall at all times occupy <br />the status of an independent contractor and not,that of <br />any- employee, agent or legal representative of the <br />Village. <br />5. In-the event that Contractor requests permission to park <br />Contractor-owned vehicles on Village property and the <br />Service Director/Building Commissioner grant such <br />permission, it is ,understood and agreed that the Village <br />assume no liability whatsoever for any damage, vandalism <br />or destruction, whether minor or major, to said vehicles <br />while parked on said property, nor will any damage, <br />vandalism or destruction of said vehicles be considered <br />to excuse the Contractor from its obligation to perform <br />under this Contract. <br />6. All provisions of the Contract documents including the <br />bid specifications and b,id proposal (attached hereto and <br />marked Exhibit "A" and "B" respectively), shall be <br />complied with and conformed to by the Contractor, and no <br />amendment to this Contract shall be made except upon the <br />written consent of the parties. <br />No amendment shall be construed to release either party <br />from any obligation of the Contract documents except as <br />specifically provided for in such amendments. <br />7. This Contract is entered into subject to the following <br />conditions: <br />A. The Contractor shall procure .and keep in full force <br />and effect throughout the term of this Contract all. <br />of the insurance policies and certificates <br />including, but not limited to,~ motor vehicle <br />insurance, public liability and property damage <br />insurance. <br />B. In the event that any provision or portion thereof <br />of any Contract document shall be determined to be <br />invalid or unenforceable by any Court of Law, then <br />the parties hereto shall negotiate in good faith <br />and agree to such amendments, modifications or <br />supplements of or to the Contract documents as <br />shall, to the maximum extent practical in light of <br />such determinations, implement and give effect to <br />the intentions of the parties as reflected herein. <br />The other provisions of the Contract documents <br />shall, as so amended, modified or supplemented, <br />remain in full force and effect. <br />
