1.11. "Services" means services provided under the Master Services Agreement and additional Service Agreements as executed or amended from time to time. 1.12. "7errn" means the term of the Agreement as set out In Section 6 of the Agreement. 2. Rights and Responsibilities Both parties acknowledge and agree that this Subscriber Service Agreement is governed by the Master Services Agreement dated October 15, 2009 between OneCommunity and Mayfield Village, as it may be amended from time to time. 2.1 OneCommunity under asreement with Mayfiefd Village: (a) OneCommunity will manage and mon)tor aA equipment that is part of the Mayfield Vi1lage and OneCommunity Network cannection up to the point of demarcation. (b) OneCommunity shall be resportsible for insuring the equipment that lt owns as part of the OneCommunlty Network. , (c) Decislons regarding the technical requirements, implementation process, operational or engineering plans for the OneCommunity Network will be made by OneCommunity at its sole discretion after due consideration of Subscriber input. If changes to EguipriZent are required, OneCommunity will schedule and make changes in a mutually. acceptab[e r?tairttenance window. (d) AII services provided by OneCommunity hereunder shafl be consistent with indastry standards for computer network;services, shall be rendered in a manner consistent with that level of care artd s[cill ordinarlly exercised by the industry, and in compliance with all federal, state, and local laws and regulations. (e) OneCommunity shall provide services as described in Addendum A. (f) AddEtional OneCommunity rights and, responsibilities may be identified in any executed Addenda to this Agreement. 2.2. Subscriber. (a) Subscriber wiil provide afl routers, switches, or other equipment necessary to support its internal network, which conform to the minimum technical requirements as specified by OneCommunity. Subscriber will 8esignate one of Subscriber's routers/swltches from which Subscriber fiber will connect to the OneCommunity IVetwork. (b) Subscrtber is responsible for instalfation, maintenance, and repalr of customer-premises fiber between the Demarcation Point for the conrtection and the Subscriber's switch or router. (c) Subscriber, sotely at its own discretion anci expense but consistenE wlth OneCommunity's technical requirements, may at any time elect to provide diverse connections to OneCommunity from its existing sites for actded protectlon (redundancy) at no additional cost other than costs associated w3th any additional networEc infrastructare. (d) SubscrEber will assign an operational and technical contact person to coordtnate with OneCommunity regarding services be(ng provided under this Agreement..
