8. Payments contemplated by this Agreement shall be made within 30 days following the effective date(s) of any sublease(s) between American Tower and any prospective sublessee broadband and/or paging carrier(s). Payments for any partial year (i.e., time period between the effective date of any such subleases and the iminediately subsequent Commencement Date anniversary) during which such sublessees are located on the tower shall be prorated accordingly. The payments per carrier contemplated in this Consent and Use Agreement shall continue oniy so long as the carrier for which such payment is made remains a sublessee of American Tower at the above-referenced site. Upon the termination, expiration, or cancellation of any sublease for use of the above-referenced site, and upon American Tower providing the Landlord with notice in writing of the same, the obligation to pay the fees to Landlord associated with that respective sublessee shall also terminate. Credits for any partial year (i.e., time period between the effective date of termination, expiration or cancellation of any such subleases and the immediately subsequent Commencement Date anniversary) during which such sublessees have ceased activity at this site shall be prorated and applied to the rent due on the imrnediately subsequent Commencement Date anniversary on which a Co- Location Fee is due. 9. American Tower acknowledges that this Agreement incorporated the agreement entered into between Verizon and the Landlord on November 18, 1996, and as subsequently amended, its terms, covenants, and conditions shall be binding upon and inure to the benefit of the parties, including all carriers, hereto, their respective successors, assigns and legal representatives. In witness whereof for the mutual promises and covenants contained in this Agreement the parties hereby set their hands on the dates so indicated.
