Such covenants running with the land in the Declaration shall have priority over any <br />other lien or encumbrance on the Property, except for such title exceptions as are approved in <br />writing by the Director of Law of the Village, and the Company shall cause any and all holders of <br />mortgages or other liens existing on the Property, if any, as of the time of recording of the <br />Declaration, to subordinate such liens to the Declaration and such covenants n~nning with the land <br />provided in the Declaration. The Village will assume and pay all fees or charges for the recording <br />of the Declaration. <br />Section 4. Termination. This Agreement shall terminate upon the expiration of the <br />Exemption Period referred to in Section 2 hereof and the full payment of all Service Payments <br />payable with respect to such Exemption Period. <br />Upon satisfaction of the Company's obligations under this Agreement to make the <br />Service Payments, the Village shall, upon the request of the Company, sign an instrument in <br />recordable form evidencing such satisfaction and termination for filing with the Recorder's Office <br />of Cuyahoga County, Ohio. <br />Section ~. Title Evidence. At the recording of the Declaration, the Company agrees to <br />provide a title insurance policy (or satisfactory commitment therefor with the title insurance policy <br />to be delivered promptly after recording, or other title evidence satisfactory to the Village) from a <br />title company satisfactory to the Village, at no cost to the Village, evidencing that: (1) the <br />Company is the owner in fee simple of the Property; and (2) the covenants in the Declaration <br />running with the land to make Service Payments provided for in this Agreement are prior and <br />superior to any other liens, encumbrances or other title exceptions. except for those approved in <br />writing by the Director of Law of the Village. <br />-~- <br />
