Section 6. Assignments. Prior to completion of the Company Project, the Company <br />agrees not to assign this Agreement, or transfer the Property or any part thereof, without the prior <br />written consent of the Village. After completion of the Company Project and obtaining a <br />Certificate of Occupancy therefor, the Company may transfer the Company Project and assign this <br />Agreement provided that the following conditions are met to the advance written satisfaction of the <br />Village: <br />(a) Any proposed transferee and assignee of the Company shall have the <br />qualifications and financial responsibility, asdetermined by the Village, necessary and adequate to <br />carry out the Company's obligation to make Service Payments as provided in this Agreement, and <br />necessary and adequate to carry out the operation and maintenance of the Company Project; and <br />(b) The proposed transferee and assignee, by instrument in writing satisfactory to the <br />Village and in form recordable in the Cuyahoga County real estate records, shall for itself and its <br />successors and assigns, and expressly for the benefit of the Village, have expressly assumed all of <br />the obligations of the Company under this Agreement. <br />Section 7. Property Damage Insurance; Damage or Destruction. <br />(a) The Company agrees that from and after the date of this Agreement and during <br />the Exemption period, it will, at its own cost and expense, provide and maintain on the Property, <br />insurance against loss or damage by fire and those hazards ordinarily covered in all-risk property <br />insurance policies in Mayfield Village, Ohio, in an amount not less than 100 percent (100%) of the <br />replacement value of the Property. Such insurance shall be effected under standard form policies <br />issued by insurers of recognized responsibility, authorized to do~ business in the State of Ohio and <br />well rated by national rating organizations. The Company shall furnish to the Village certificates or <br />other evidence of such insurance within 12 months from the date of this Agreement. The proceeds <br />-6- <br />
