F.XNII3IT A 2017 Mayfreld Village -Solid Waste Collection, Disposal, attd Recycling Services Bid THIS AGREEMENT (the "Agreement") for Residential Solid Waste Collection, Disposal and Recycling Services is entered into by and between the Village of Mayfield, a Village in the County of Cuyahoga, State of Ohio (the "Village") with its offices located at 6622 Wilson Mills Road, Mayfield, OH 44143 and Kimble Recycling and Disposal, Inc. (the "Contractor"). WITNESSETH WHEREAS, the Village, pursuant to a Motion which authorized the Village to obtain bids for Residential Solid Waste Collection, Disposal and Recycling Services; and WHEREAS, following publication of the Invitation to Bid in the Sun Messenger and the opening and consideration of the Bids received for the Residential Solid Waste Collection, Disposal and Recycling Services, the Bid of the Contractor has been determined to be the lowest, responsive and responsible; and y~V2IIEREAS, the Village has considered the Bid; and the Village, pursuant to Ordinance No. 17- which approved the Contract and authorized the Mayor to execute the Contract by and on behalf of the Village. NOW THEREFORE, in consideration of the mutual promises and obligations contained herein, the Village and the Contractor agree as follows: ARTICLE I -DEFINITIONS The terms used herein are defined in the Invitation to Bid for Residential Waste Collection, Disposal and Recycling Services Exhibit "1" attached. ARTICLE II -TERM AND RENEWAL TERMS 1. Term This Agreement shall be effective upon the date last signed below. The Commencement Date for Residential Solid Waste Collection and Recycling Services is June 15, 2017 and the initial term of this Agreement shall terminate on June 14, 2022 unless renewed and extended as provided herein. 2. Renewal Terms The Village will have the option to renew this Agreement for two additional one year terms. The Village will provide written notice to the Contractor of the Village's decision to renew this Agreement within 90 days of the termination date. ARTICLE III -STATEMENT OF WORK During the term of this Agreement, the Contractor will perform the services set forth in this Article III of this Agreement and also set forth in the Village's Invitation to Bid and the Contractor's Bid which is incorporated herein by reference including, but not limited to the provision of all labor, materials, equipment, management, facilities scales, record keeping and billing related to the
