2077 Mayfreld Village -Solid Waste Collection, Disposal, and Recycling Services Bid <br />severability of interests under the insurance policies required hereunder for all coverage's provided <br />under said insurance policies and otherwise provide cross liability coverage. <br />The Contractor will be responsible for the payment of any and all deductible(s) or retentions) under <br />the policies of insurance purchased and maintained by it pursuant to this Contract. Village will in no circumstance be <br />responsible or liable for the loss or damage to, or disappearance of, any <br />machinery, equipment, mobile equipment and tools used or owned by <br />Contractor in the erfonnance of services hereunder. <br />ARTICLE VI -INDEMNIFICATION <br />1. EnvironmentalIndemnity <br />The Contractor will indemnify, save, and hold the Village, its members of council, employees, <br />agents, officers and consultants (each a "Village Indemnitee") harmless from and against any and all <br />liabilities, claims, demands, causes of action, penalties, judgments, forfeitures, liens, suits, costs and <br />expenses whatsoever (including those arising out of death, injury to persons, or damage to or <br />destruction of property), and the costs and expenses incident thereto which any Village Indemnitee <br />may incur, become responsible for, or pay out for or resulting from contamination of or adverse <br />effects on the environment, or any violation of governmental laws, regulations, or orders, in each <br />case, to the extent caused by the Contractor's negligence or willful misconduct relating to the <br />performance of the work hereunder. Any Village Indemnitee will promptly notify the Contractor of <br />any assertion of any claim against it for which it is entitled to be indemnified hereunder, will give <br />the Contractor the opportunity to defend such claim and will not settle such claim without the <br />
