national origin, disability, age, military status or ancestry. Grantee will incorporate the requirements of <br />this paragraph in all of its contracts for any of the work undertaken on the Eligible Project (other than <br />subcontracts for standard commercial supplies or raw materials), and Grantee will require all of its <br />contractors for any part of such work to incorporate such requirements in all subcontracts for such work. <br />9. Project Manager. Grantee hereby designates the officer or employee of Grantee identified on <br />page one of this Agreement to serve as Project Manager. Grantee shall notify the Grantor promptly in <br />writing of any change of the person designated to serve as Project Manager. <br />10. Securing Contractor(s). <br />(a) Qualified Personnel. Grantee agrees to secure qualified personnel and/or contractors to complete <br />eligible activities of the Eligible Project. All personnel performing work under this Agreement shall be <br />employees of Grantee or any Collaborative Partner(s) as identified in Exhibit 1, or under the direct <br />supervision of the Project Manager or Grantee's contractors. Grantee agrees to comply with all <br />applicable laws governing the selection of contractors under this Agreement, including any applicable <br />procurement processes. <br />(b) Binding Provisions. Where performance of eligible activities of the Eligible Project are carried <br />out by a Collaborative Partner(s) or a contractor of Grantee or a Collaborative Partner(s), Grantee shall <br />make the provisions of this Agreement binding on such Collaborative Partner(s) and/or contractor. <br />Notwithstanding any delegation of activities to a Collaborative Partner(s) or contractor, Grantee shall not <br />be relieved of any legal responsibility for compliance with requirements of the Agreement. <br />11. Reporting. <br />(a) Progress Reports. Grantee shall provide a Progress Report to the Grantor with each submitted <br />payment request (the "Progress Report"). The Progress Report shall include a description of all <br />completed work with beginning and end dates, including tasks, objectives and outcomes and any recent <br />significant events regarding the Eligible Project. The Progress Report should also outline proposed tasks, <br />objectives, and outcomes that Grantee plans to complete by the next Progress Report. Additionally, at any <br />time during the Tenn of the Agreement, Grantor may request an updated Progress Report, which shall be <br />submitted to Grantor within ten (10) days of such request. <br />(b) Closeout Report. Within 60 days after the Eligible Project is completed, whether on or before the <br />Project Completion Date, Grantee shall provide the Grantor with a Closeout Report (the "Closeout <br />Report") in the form prescribed by the Grantor, which shall include final proof of Matching Funds, if <br />applicable. <br />12. Records Maintenance and Access. <br />(a) Maintenance of Records. Grantee shall establish and maintain for at least three years after the <br />Project Completion Date or any earlier termination date its records regarding this Agreement, the Grant <br />Funds and the Eligible Project, including, but not limited to, financial reports and all other information <br />pertaining to Grantee's performance of its obligations under this Agreement. If any audit, dispute, or <br />litigation is then pending, however, Grantee shall maintain such records as maybe relevant to such matter <br />until it is fmally resolved. <br />(b) Inspection and Copying. At any time during normal business hours and upon not less than 24 <br />hours prior written notice, Grantee shall make available, and shall cause any Collaborative Partner(s) to <br />make available, to Grantor, its agents or other appropriate State agencies or officials all books and records <br />regarding this Agreement, the Grant Funds and the Eligible Project which are in the possession or control <br />Local Government Safety Capital Grant Page 4 of 11 <br />
