Should the actual costs of the design, construction and warranty components of the <br />Village's Project exceed the amounts above, the parties shall enter into a modification'for <br />the additional amounts. The Village shall have the right to.determine not to proceed with <br />construction of the Village's Project, however, the Village shall remain obligated to <br />reimburse,the District for all design. costs incurred. <br />2.1.! . The Village sI~all reimburse the District directly after submission by the District <br />of pay. applications or requests for disbursements of funds related to design <br />serv_ ices, which shall be documented by the District in reasonable satisfaction to <br />the Village, based on the degree of completion of design services and the agreed- <br />upon scope and fee for design services included in the design engineer's contract. <br />2.1.2 The Village shall reimburse the District directly after submission by the District <br />of pay applications or requests for disbursements of construction and warranty <br />funds, which shall be documented by the District in reasonable satisfaction to the <br />Village, based on District-developed schedule of values, and shall be submitted in <br />a foam sufficient to allow the Village to review, inspect and approve the invoices <br />and/or pay requests for materials, labor, and quantities installed as part of the <br />construction of the Village's Project. <br />2.2 In consideration of the District performing the Beecher's Brook Project, the Village grants <br />to the District and its employees, agents, consultants, subconsultants, contractors and <br />subwntractors a license to use certain portions of property owned by the Village for the <br />purpose of performing mobilization, construction, storage of materials, and maintenance <br />and warranty activities for the Beecher's Brook Project. The licensed property consists of <br />the entire areas of Cuyahoga County Permanent Parcel Numbers 831-13-005, 831-13-006, <br />831-13-017, 831-13-018, 831-i3-Oi9, and 831-13-020. The District may enter upon and <br />use al[ access roads to the Beecher's Brook Project site(s). This license commences on the <br />Effective Date of this Agreement and shall continue until such time as the constriction <br />and any warranty periods of the Beecher's Brook Project are complete. <br />2.3 The Village shall assist the District to obtain all required federal and state permits or other <br />approvals necessary to commence and complete the Beecher's Brook Project. The Village <br />grants the District permission to obtain the foregoing permits on the Village's behalf. <br />2.4 The Village shall provide review comments and approvals within ten (10) business days of <br />receiving the design documents referenced in Section l .3 above from the District. <br />2.5 The Village shall be responsible for maintaining the Village's Project upon completion of <br />the construction, and shall ensure that such maintenance does not impact the District's <br />Project. Any impacts to the District's Project resulting from lack of maintenance to the <br />Village's Project shall be the responsibility of the Village. <br />
