Regular Gouncil Minutes
5-17-04
Page 19
take advantage of that. But we could if we did. I am just saying that it gives us an opportunity
of a host of vendors; not just one. So it is independent of what our plans are. If it fits our plans
down the way, fine. If we have no further plans it would still benefit us to have that cooperative
purchasing.
Mr. Marrie said and if we have questions in that technology end of it that are beyond, basically,
our abilities here on Council, we'd have the ability to tap into Case Western Reserve...
Mr. Brett said the only thing I want to distinguish here is it might be for a fee at that point.
Mr. Marrie said at that point. That's exactly right but it is available. But all I ain saying right
now is we're tapping into the buying power, the tie-in with Case. I have to use the analogy:
what are we using the State for to buy police cars, it's the same thing. You don't have to [use it]
but you have the ability to. We should have the ability to be able to do this if we want to move
on it; that's all.
Mr. Diemert said to supplement what you are saying, Mr. Committee Chairman, the agreement
that we are entering into has a confidentiality clause which they're concerned about and a
liability clause. So we won't know what they have available unless we enter into the agreement
now. In the event that we come up with a plan and decide to do something, what they are saying
is that they wont avail us of that list of vendors or services because we didn't sign this now. If
we sign this now, then they will make that list available for you all to pick from in the event you
need some help making your plan. That is kind of, I think, the only reason they are doing it early
is to protect themselves before they distribute what their services and their vendors are. That's
all I see in here is your obligation is to be confidential about anything they may give you in the
future, is really all our obligation is-in the way of vendors and services available. It is only
good until the next fiscal year, then it is renewed from year to year and you can get out on 30
days notice without anybody being in default of anything except you still have to hold everything
you learned in confidence.
Council President Buckholtz said, so in other words, I will put it as a question, it is a good faith
effort but at the same time if wanted to buy some equipment or if we wanted to put something
over at the new facility or we wanted to upgrade something, signing this agreement they will be
forthcoming with.. .
Mr. Diemert said they will give you a menu of things that you might be looking for.
Council President Buckholtz said and this is in addition and is separate, totally, from the ONE
CLEVELAND Plan of the great big network.
Council President Buckholtz and Mr. Diemert said this has nothing to do with that.
Mr. Marrie asked, if you don't sign with them, what would be the advantage for them just to give
you all of their private information? Who puts the whole thing out on the porch for everybody to
take? I don't know why we wouldn't do it.
Council President Buckholtz asked, any other discussion?
