URS shall assist the Client in securing, tabulating, and evaluating construction bids, and <br />furnish engineering recommendations concerning the awarding of construction contracts. <br />5. URS shall assist the Client in the preparation of correspondence and reports to the various <br />state and federal agencies that may be involved in the Project. <br />Construction Phase - Administration of the Contract for Construction: The Construction Phase <br />will commence with the award of the Contract for Construction and will terminate when the Final <br />Certificate of Payment is used to the Client by URS, or the date for final completion in the original <br />Construction Contract, whichever is sooner. This task includes the following: <br />1. The Construction Documents shall consist of the Client-Contractor Agreement, the <br />Conditions of the Contract (General, Supplementary and other Conditions), the Working <br />Drawings, the Specifications, and all Addenda issued prior to and all Modifications issued <br />after execution of the Contract. Unless the context indicates clearly to the contrary, terms <br />employed in this Agreement shall have the same meaning as those defined in AIA Document <br />A201, General Conditions of the Contract for Construction, current as of the date of this <br />Agreement. 2. URS shall be a representative of the Client during the Construction of the Project and shall <br />advise and consult with the Client. Instructions to the Contractor shall be forwarded through <br />URS. URS shall have authority to act on behalf of the Client only to the extent provided in <br />the Contract Documents and this Agreement unless otherwise modified by written <br />instrument. <br />3. URS Project Manager shall visit the site at intervals appropriate to the stage of the <br />construction to become generally familiar with the progress and quality of the Contractor's <br />Work and to determine in general if the Work is proceeding in accordance with the Contract <br />Documents. On the basis of such on-site observations as engineer, URS shall keep the Client <br />informed of the progress of the Work, and shall endeavor to guard the Client against defects <br />and deficiencies in the Work of the Contractor. <br />4. URS shall not be responsible for and shall not have control or charge of construction means, <br />methods, techniques, sequences or procedures, scheduling, or for safety precautions and <br />programs in connection with the Work. URS shall not be responsible for or have control or <br />charge over the acts or omissions of the Contractor, Subcontractors, or any of their agents or <br />employees, or any other persons any of the Work, and shall not be responsible for the failure <br />of any of them to carry out the Work in accordance with the Contract Documents. <br />5. URS shall at all times have easy and safe access to the Work whenever it is in preparation of <br />progress. <br />6. URS, on behalf of the Client, shall be the interpreter of the requirements of the Coritract <br />Documents and judge the performance thereunder by the Contractor. URS shall render <br />interpretations. necessary for the proper execution or progress of the Work with reasonable <br />promptness on written request of either the Client or the Contractor, and shall render written <br />decisions, within a reasonable time, on all claims, disputes and other matters relating to the <br />execution or progress of the Work or the interpretation of the Coritract Documents. <br />J:1Proposals\Iv4arketing\ContractslMayfield 10-50907.001W06_MOD10.doc 2
