irEM xv - AssiGNABiunr <br />The Organixation shall not assign any interest In this Agreement and sHall not transfer <br />any in#erest .in the same (whether by assignment or notation), without #he prior written <br />consent vf the County thereto, ITERA XVi - DEFAULT; 'fERMlidATION OF AGREEMEROT <br /> <br />If the Organization breaches any of its representations under this Agreement or fails ta <br />pertorm any of ifs obligations or is in, default under any other aondition of this Agreement <br />for a peri? of fhirty (3D) days after date of the County's written notice to the <br />Organization, the County may, at itss soie aption, terrninate this Agreement-and will be <br />under no further obllgatlon to dlsburse any funds remaining under the Award. If the _ <br />Agreement is terminated as a result of a default by the, the Organization shall not be <br />eligible to apply for a grant or loan under any subsequerrt round of the Program. <br />In the event of termination, all finished or unfinished documentso. data, studies, suroeys, <br />drawrings, maps, models, photvgraphs, and reports prepared by the Organization under <br />this Agreement, at the option of the County, shall become the property of the Caunty and <br />Organlzatlon shall be entltled to recelve just and equitable compensation for any <br />satisfactory vuark cflmpleted on' such documen#s; provided, hovuever, that such <br />-compensation may be reduced in the event the GounQy determines that any money owed <br />the Counfy by the Organization has nofi been paid. <br />ITEM XVII = TERMINATIQN FOR COtdVENINCE <br />In addition to any other rights the County may have at !aw or under this Agreement with <br />respect to cancellation or termination, the County may, without cause, terminate this <br />Agreement in whole or in part, if the County determines that a termination is appropriate <br />for its eortvenience. The County shal) give the Organization at least thirty (30) days' <br />notice in writing from the County to the Organization. <br />ITEM XVIII - INDEIIANIFICATlON <br />The Organization and the County, as Ohio political subdivisions, do not indemnify any <br />person or entity, and agree that no provision of this Agreement or any other Agreernent <br />or agreement betuveen County and the Municipality may be interpreted to obligate either <br />to indemnify or defend the other or any other peo-son ar entlty. Each party agrees to be <br />responsibfe for any and all damages resulting frorn the actions ar omissions of its offlcers, <br />officials, employees and agents while same are engaged in the performance of this <br />Agreemsnt.
