Organization wrarrants and represerrts thaf it has not employed or retained any company, - firm ar per5on, other than a bona fide employee working for the Organiza#ion, to solicit or secure this Agreement, and 'that it has not paid or agreed to pay any company, flrm or person, other than a. bona flde employee warking for Organization,. any fee, commission, percentage, brokerage fee, gift, or any other consideration coritingerrt upon or resulting friom the award or making of this Agreement. Fot breach or violation of this warraniy. County shall have the right to annul this Agreemerrt wffhout liability. or in its discretion to deduct from the corrtract fee or oonsideration, or otherwise recover, the full amount of such fee, oommission, gift, parcentage, or contingent fee. - ITEM XII! - CHANGES A: The County may, from time to time, permit changes in the Project Description of the Agreement to be . pertonned hereunder. Any such changes shall be incorporated in written amendments to this Agreement signed by the parties. B. The County may from time to time cause changes in the Project Award for this Agreement provlded such changes are authorized by resolution of the County of Cuyahoga, Ohia and are pursuant to the provisions hereof. Any such changes shall be incorporated in w+ritten amendments to this Agreement signed by 1he Partles. . C. The County may upon its own iniflative or upon that of the Organization, authorize changes in the time of performance as estabfished in Part i, Item II hereof. As a conditlon precedent to the authorizatian of such change, the County shall have determined that the Organization has exhibited the utmost in good faith. in the performance of the Agreement and. that there is just cause based upon the intervention of a circumstancg unforeseeable at the execution of this Agreement. The Organization and the County in writing shali agree to any change in the time of completion, and said writing shall be incorporated in wrftten amendments to this Agreement signed by the Parties. . ITEM XIV - PERSONNEt. ' . , A. The Organization represents that it has or will secure at its own expense, all personnel required in perform(ng the servlces under this Agreement. ; Such personnel shall not be employees of or have any contractual relationship with the County, B. All of the services required hereunder will be perFormed by the Organization or under its supervision and all personnel engaged in the work shall b'e fuliy qualified and shall be authorized or pecmifted under state and Iocal law to perform such services. , 6
