Either party may at any time, by giving ten (10) days' written notice to the other <br />party, designate any other address in substitution of the foregoing address to which the <br />notice or communication shall be given. <br />O. NONDISCRIMINATION. VENDOR agrees to comply with all applicable <br />federal, state, county, and local laws regarding nondiscrimination, and specifically agrees <br />not to refuse to employ or refuse to continue in any employment, any person on account <br />of race, color, religion, creed, sex, national origin, or disability. <br />P. NON - WAIVER. Neither the waiver by either party to this Contract, or any <br />breach of any agreement, condition or provision of this Contract, nor the failure of either <br />party to seek redress for violation of, or to insist upon strict performance of, any <br />agreement, condition or provision, shall be considered to be a waiver of the Contract, <br />condition or provision or of any subsequent breach of any agreement, condition or <br />provision. No provision of this Contract may be waived except by written agreement of <br />the party to be charged. <br />Q. AUTHORITY. The undersigned representatives of each of the parties hereby <br />represent and warrant that he /she is the duly authorized officer or agent of such party, that <br />each party has approved and ratified this Contract by appropriate legal action, and that <br />this Contract constitutes a valid and binding contract and agreement properly undertaken <br />and binding upon each of the parties. <br />R. SUCCESSORS AND ASSIGNS. The CONTRACT DOCUMENTS and all <br />of the covenants hereof shall inure to the benefit of and be binding upon the CITY and <br />the VENDOR respectively and its partners, successors, assigns and legal representatives. <br />Neither the CITY nor the VENDOR shall have the right to assign, transfer or sublet its <br />interests or obligations hereunder without written consent of the other party. <br />S. GOVERNING LAW. The CONTRACT DOCUMENTS shall be governed <br />by the laws of the State of Ohio. Any disputes between the parties arising out of this <br />contract shall be adjudicated, if at all, in a court of competent jurisdiction in Cuyahoga <br />County, Ohio. <br />T. ENTIRE CONTRACT. The parties agree that this Contract and the <br />CONTRACT DOCUMENTS cancel and supersede any prior agreements, and as of the <br />date hereof comprise the entire, complete, and exclusive statement of the agreement <br />between the parties. <br />
