�bwa. :�,.ia..,,�;.r.a r�.m ,e,�: �., „an�r as,mrF :zs�� 3;M.s�� ��:+.•ss .+p:. w, wsk .. ,.nom. .. <br />Ordinance No. 2005 -106 <br />WHEREAS, in order to effectuate legal payment of said additionally appropriated <br />amounts to said outside labor counsel for legal services rendered both in 2004 and 2005, <br />the Director of Law has recommended removing the cap from the contract authorized by <br />Ordinance Nos. 2004 -18 and 2004 -104; and <br />WHEREAS, it is the desire of this Council, accordingly, to amend Ordinance No. <br />2004 -104 so as to remove the maximum dollar cap in the said contract with outside labor <br />counsel and to ratify and confirm all payments made to date to said outside labor counsel; <br />NOW, THEREFORE, BE IT ORDAINED BY THE CITY OF NORTH <br />OLMSTED, COUNTY OF CUYAHOGA, AND STATE OF OHIO: <br />SECTION 1: That Section 3 of Ordinance No. 2004 -18, as subsequently <br />amended by Ordinance No. 2004 -104, which presently reads as follows: <br />"SECTION 3: That expenditures pursuant to said contract shall not <br />exceed Sixty Thousand Dollars ($60,000) without further authorization of <br />this Council." <br />Be amended, and, as amended, shall read in its entirety as follows: <br />SECTION 3: That expenditures pursuant to said contract shall not exceed <br />the appropriations which, from time to time, shall be authorized by <br />this Council. Said contract, unless authorized for renewal by this <br />Council, shall expire on December 31, 2005. <br />SECTION 2: That the Mayor be and hereby is authorized, subject to approval of <br />the Board of Control, to enter into an amended Agreement with the Law Firm of Johnson, <br />Angelo & Colaluca, L.L.C., reflecting the changes in said contract terms as set forth <br />above. Said contract shall be in the form and substance of the Second Amended Contract <br />for Outside Legal Counsel, attached to this Ordinance as "Exhibit A," with only such <br />changes therein as are not substantially adverse to the City and which are approved by the <br />Director of Law. The character of any such changes as not being substantially adverse to <br />the City shall be evidenced conclusively by the execution of the agreement by the Mayor <br />and the approval of the agreement by the Director of Law. <br />SECTION 3: That all payments made by the City to date pursuant to said <br />contract in excess of Sixty Thousand Dollars ($60,000.00), as provided for in Ordinance <br />No. 2004 -104, are hereby ratified and approved. <br />SECTION 4: That this Ordinance shall take effect and be in force from and after <br />the earliest period allowed by law. <br />2 <br />
