7. The Participating Cities shall share in equitable ownership of all equipment <br />and property acquired pursuant to this Agreement in a percentage equal to their initial <br />contribution to the original development of the center. <br />8. That, should any Participating City withdraw from this program, notice of <br />withdrawal must be given, in writing, at least sixty (60) days before the date of <br />termination. <br />9. That, in the event that any Participating City withdraws, the remaining <br />Participating Cities, through WCOG, have the right of first refusal to purchase the <br />withdrawing city's interest in the equipment in the central fire dispatch center pro rated <br />upon a five (5) year depreciation schedule. <br />10. In the event the non - withdrawing Participating Cities decline through WCOG <br />to purchase any or all equipment and to continue the operation of the central fire dispatch <br />center, the Participating Cities agree to mutually dissolve this Agreement in accordance <br />with the laws of the State of Ohio, and all net revenues from the sale of the equipment by <br />WCOG shall be shared in proportion to their original contribution by said Participating <br />Cities. <br />11. That any and all terms or conditions not specifically contained herein shall be <br />at the joint agreement of the Council's of the Participating Cities. <br />12. <br />a. It is agreed that North Olmsted and Lakewood are named parties to this <br />Agreement by virtue of their membership in the WCOG and that this Agreement <br />shall be effective upon its execution by the Participation Cities. North Olmsted <br />and Lakewood, even as non - participating cities, shall be entitled to receive notice <br />5 <br />
