Resolution No. 2005 -76 <br />WHEREAS, F.I.R.S.T has recently received a renewable ODOT Coordination <br />grant in the amount of Eighty Thousand Dollars ($80,000), and has further received <br />Trapeze software from the Greater Cleveland Regional Transit Authority ( "GCRTA "), <br />valued at One Hundred Ten Thousand Dollars ($110,000.00), for the purposes of <br />establishing a call and dispatch center at a suitable location in western Cuyahoga County; <br />and <br />WHEREAS, F.I.R.S.T. has demonstrated an interest in establishing the operations <br />of its call and dispatch center at the said City -owned real property on Butternut Ridge <br />Road; and <br />WHEREAS, it is the desire of this Council to authorize and direct the Director of <br />Law to enter into negotiations with F.I.R.S.T. for the lease of the City's said real property <br />on Butternut Ridge Road as a call and dispatch center, on terms and conditions that are <br />substantially similar to the lease formerly existing between the City and Horizon <br />Activities Center, and including provisions for a five -year term with options for renewal <br />and consent to sublease in the future all or a portion of the facility to the Senior <br />Transportation Connection of Cuyahoga County ( "S.T.C. ") on a revenue - producing space <br />basis acceptable to the City; and <br />WHEREAS, it is further the desire of this Council to authorize the Mayor to <br />execute on behalf of the City the lease that is ultimately negotiated by the Director of <br />Law with F.I.R.S.T, consistent with the general terms and conditions set forth above; <br />NOW THEREFORE, BE IT RESOLVED BY THE COUNCIL OF THE CITY <br />OF NORTH OLMSTED, CUYAHOGA COUNTY, AND STATE OF OHIO: <br />SECTION 1: That this Council hereby authorizes and directs the Director of Law <br />to enter into negotiations with the First Integrated Regional Senior Transportation <br />( "F.I.R.S.T. ") consortium for the purpose of leasing the City's real property located on <br />Butternut Ridge Road, and identified as Permanent Parcel Numbers 235 -6 -9, 235 -6 -10 <br />and 235 -6 -11, for use as a centralized call and dispatch center for transporting the elderly <br />and disabled to and from locations within the F.I.R.S.T. regional area; and further <br />authorizes the Mayor to execute, on behalf of the City, the lease that is negotiated by the <br />Director of Law consistent with the general terms and conditions set forth above. <br />SECTION 2: That this Resolution is hereby declared to be an emergency <br />measure immediately necessary for the preservation of the public health, safety and <br />welfare, and further for the reason that it is necessary that this Resolution go into effect <br />immediately because F.I.R.S.T. is scheduled to conduct testing of the call and dispatch <br />center (and the Trapeze software) in June with the anticipation to begin operations in <br />July, and the Director of Law requires sufficient time to conduct negotiations within this <br />time frame, and further provided it receives the affirmative vote of two - thirds of all <br />members of Council, it shall take effect and be in force immediately upon its passage and <br />approval by the Mayor. <br />2 <br />
