EXHIBIT A <br />TRANSITION AGREEMENT <br />This Transition Agreement is made and entered into between the Greater Cleveland <br />Regional Transit Authority (hereinafter "GCRTA "), the American Federation of State, County <br />and Municipal Employees ( "AFSCME ") Ohio Council 8, and AFSCME Local 3517 (hereinafter <br />collectively referred to as "AFSCME "), and the City of North Olmsted, Ohio (hereinafter <br />City "). <br />Backeround Information <br />1. GCRTA is a regional transit authority created and operating pursuant to Sections <br />306.30 through 306.54 and 306.70 and 307.71 of the Ohio Revised Code ( "O.R.C. ") <br />2. The City of North Olmsted presently owns and operates a public transportation <br />system serving the North Olmsted, Ohio area and certain routes designated by GCRTA. <br />3. GCRTA and the City currently are if the process of negotiating a "Mass Transit <br />System Transfer Agreement" setting forth the terms and conditions under which GCRTA will <br />acquire full ownership and control of the City's public transportation system (hereinafter <br />"Transfer Agreement "). GCRTA and the City anticipate that the terms of the Transfer <br />Agreement will be made effective on or about March 20, 2005 (hereinafter "Transfer Date ") <br />4. AFSCME is the exclusive collective bargaining representative for employees of <br />the City's public transportation system in a bargaining unit consisting of full -time bus operators, <br />dispatcher /drivers, mechanics, hostlers, equipment servicers, and material handlers (hereinafter <br />"AFSCME Bargaining Unit Employees "). The City and AFSCME currently are parties to a <br />collective bargaining agreement that expires on July 31, 2006, which sets forth the wages, hours, <br />
