in order effectively to conclude the transaction contemplated by <br />this Agreement, or any part thereof, to the Authority. <br />19. Continuing Cost Reimbursement Obligation Closeout Audit, and <br />Resolution of Disputes Under the 1999 Public Transportation <br />Operating Agreement. <br />(a) The parties recognize and agree that for some period of time <br />following the closing of this transaction, the City will continue to <br />receive invoices and otherwise be required to make payments for <br />expenses incurred as a result of operating a transit system in <br />accordance with the terms and conditions of the 1999 Operating <br />Agreement. The Authority recognizes that it has a continuing <br />obligation to reimburse the City for such payments made by the <br />City following the expiration of the 1999 Operating Agreement to <br />the same extent and in the same manner that it would have been <br />required to reimburse the City under the 1999 Operating <br />Agreement. <br />(b) On a monthly basis prior to the closeout audit set forth in this <br />section, the City shall promptly tender request for reimbursement <br />to the Authority, which shall reimburse the City, in accordance with <br />the 1999 Operating Agreement. The Authority retains the right to <br />review and audit all such requests for reimbursement. <br />(c) The parties acknowledge and agree that there may exist <br />disputes arising out of the performance of the 1999 Public <br />Transportation Operating Agreement as extended by and between <br />the Greater Cleveland Regional Transit Authority and the City of <br />North Olmsted.
