The CONTRACTOR will commence and complete the Transportation and Disposal of Wastewater Treatment Plant Bioso lids for the City of North Olmsted. 2. The CONTRACTOR will furnish all of the material, supplies, tools, equipment, labor and other services necessary for the transportation and disposal of Biosolids. 3. THE CONTRACTOR will commence the services required by the CONTRACT DOCUMENT within five (5) calendar days after the date of the NOTICE TO PROCEED, and this agreement shall extend for five years from the date services are commenced. 4. The term "CONTRACT DOCUMENTS" means and includes the following: PART I General Provisions- Transportation & Disposal of Biosohds PART II Special Provisions- Detailed Requirements 6. The City will pay the Contractor in the manner and at such times as set forth in The Special Provisions- ( DRl through DR6) 7. This agreement shall be binding upon all parties hereto and their respective Heirs, executors, administrators, successors and assigns. 8. The contract shall be for five (5) year period beginning upon the execution of the Contract and ending five (5) years thereafter, unless either party notifies the other party in writing not less than ninety (90) days prior to the expiration of the initial five (5) year term or at the end of each one year segment of this contract, of its intention to terminate this contract. Any such written notice shall be served by certified or registered mail, return receipt requested. 9. This agreement, supplemented by the Contract Documents contains the entire Agreement between the parties, and no statement, promises and inducements made by either party or agent of either party that is not contained in this written contract, shall be valid or binding. This agreement may not be enlarged, modified or altered except in writing, signed By the parties and endorsed hereon. p.1
