Sep 01 00 15:20 p,2 The Contractor shall take out and maintain throughout the duration of this contract, general liability and property damage insurance with coveragc limits satisfactory to the City of North Olmsted. The Contractor agrees by virtue of acceptance of this contract to indemnify, keep and save the City of North Olmsted, its employees and representatives harmless from any liability arising on account of personal injuries to persons, including death or damage to property as well as from any and all claims which may arise from operations under this contract whether such operations be by the Contractor or by any subcontractor or persons of firms directly or indirectly employed by either of them. In the event that a claim is brought against the City of North Olmsted, its employees or representatives either independently or jointly with the Contractor account thereof, the Contractor upon notice by the City of North Ohnsted, its employees or representative, shall defend the City of North Olmsted, its employees or representative in any such suit at the full and total cost of the Contractor, and in the event of final judgement or settlement being obtained against the City of North Olmsted, its employee or representative, either independently or jointly with the Contractor, the Contractor shall indemnify the City of North Olmsted, its employee or representative and pay the total sum of any setticment and/or such judgement, with all costs including pre judgement and/ or post judgement interest and hold the City of North Olmsted, its employee or representative harmless therefrom. The Contractor further agrees to pay all cost including but not limited to Iegal fees, court cost and related fees for the purpose of defending the City of North Olmsted, its employee or representative with respect to claims made against the City of North Olmsted, its employees or representatives for action arising from the service specifications contained within and a part of this contract. The insurance policies obtained by the Contractor in compliance with this contract, shall not contain a deductible or self retention limit in excess of $10,000.00. All insurance policies maintained pursuant to this contract shall contain the following endorsements: " It is hereby understood and agreed that this insurance policy may not be cancelled by the Contractor, the carrier or surety nor the intent not to renew be stated by the carrier or surety until thirty (30) days after receipt by the City of North Olmsted, Ohio, by registered mail, of a written notice of such intention to cancel or not renew." "By virtue of this endorsement, the City of North Olmsted, its employees and representatives are hereby and herein named as an addition insured." " This endorsement shall indemnify the City of North Olmsted, its employee or representative and keep and hold all of the same harmless from any claims, settlement or judgement." The Contractor shall provide within seven (7) days following the effective date of this contract the following information: 1. Certificate of Insurance 2. Copies of the aforementioned required endorsements The City of North Olmsted reserves the right and authority to cancel this contract for failure of the Contractor to provide the required insurance documentation timely. The Contractor shall provide proof satisfactory to the City of North Olmsted that said Contractor is in full compliance with all Federal, State and Local laws such as, but not limited to Workers Compensation and Unemployment Compensation and the Transportation & Disposal of Biosolids Management Plan required by the Environmental Protection Agency.
