<br />3.1.4 Perform all the tasks and subtasks identified as obligations of the <br />CITY in APPENDIX B, referred to in Exhibit I attached to this <br />Agreement <br />3.1.5 Give prompt written notice to CONTRACTOR whenever the CITY <br />observes or otherwise becomes aware of any event that affects <br />CONTRACTOR's performance of its duties and obligations under <br />Section 1 Basic Services. <br />SECTION 4. TIME SCHEDULE <br />4.1 Unless otherwise directed by the CITY, the CONTRACTOR shall <br />comxnence the performance of the Section 1. Basic Services upon execution of this <br />Agreement by both parties that shall constitute Authorization to Proceed. Time is of the <br />essence in this Agreement for the Section 1 Basic Services. <br />4.2 The CONTRACTOR recognizes that the SERVICES under this <br />Agreement are to be performed as expeditiously as practicable. The CONTRACTOR <br />shall make every reasonable effort to substantially complete the Section 1. Basic Services <br />within the time set forth in Exhibit III, Time Schedule, attached hereto and made a part <br />hereof. <br />SECTION 5. AMOUNT AND METHOD OF PAYMENT <br />5.1 For services provided under Section 1. Basic Services, payment shall be <br />made in accordance with Exhibit II, Method of Payxnent. <br />5.2 All invoices sha11 be in the format requested by the CITY as referenced in <br />Exhibit II, Method of Payment. <br />5.3 The CONTRACTOR covenants and agrees to pay all persons and <br />corporations, including employees, subcontractors, materialmen, agents, and a11 other <br />working in active concert with such persons or corporations, who furnish materials or <br />render services in connection with the performance of this Agreement. <br />SECTION 6. CHANGES <br />6.1 The CITY may, at any time, by written order, make changes within the <br />general scope of this Agreement in the SERVICES to be performed. <br />3 <br />
