? NEO I SO <br />is subject to change, in accordance with NEOSO's Code of Regulations, upon the approval of <br />NEOSO's Board of Directors. <br />Section 2.3. Competitive Bidding and Procurement. <br />(a) Authorization. The Governmental Entity authorizes NEOSO to engage in <br />competitive bidding on its behalf for Offerings to be presented by NEOSO under <br />this Agreement and under any Available Contract. <br />(b) Notice. The Governmental Entity must provide NEOSO, as of the Effective Date, <br />a copy of its applicable competitive bidding procedures and procurement <br />requireinents. The Governmental Entity must provide notice to NEOSO in the <br />mamler provided in Section 6.7 of any subsequent changes in its competitive <br />bidding and/or procurement procedures as may be required by (i) any ordinance <br />or resolution of the Governmental Entity, (ii) any statutory change under the Ohio <br />Revised Code or under any federal law, ar(iii) any required judicial change under <br />applicable case law. <br />Section 2.4. Compensation. <br />(a) Forms of Compensation. In return the services rendered by NEOSO regarding <br />any requested Offering or for any other benefits received, the Governmental <br />Entity agrees to pay NEOSO compensation, which may be in the any of the <br />following forms: <br />(i) Flat or percentage fees. <br />(ii) Fees calculated as a percentage of cost savings or value achieved. <br />(iii) Retention of certain rebates. <br />(iv) As mutually agreed by NEOSO and the Governmental Entity. <br />(b) Paxment Terms. For each particular Offering authorized in an Available Contract <br />and acquired by the Govermnental Entity under this Agreement, the specific <br />Offering Addendum will describe in detail the amount of compensation, the <br />manner of calculating compensation, the timing of payment, and any other <br />material payment terms. <br />(c) No Right of Offset. The obligations of the Governmental Entity under this <br />Agreement or any agreement incorporated herein by reference are independent of <br />any other obligations the Governmental Entity may have under any other contract <br />or agreement with NEOSO.
