J NEO SO <br />Article III <br />NEOSO <br />Section 3.1. NEOSO Representations. <br />(a) It is a nonprofit corporation duly incorporated and in good standing under the <br />laws of Ohio, and is organized as a regional council of governments under <br />Chapter 167 of the Ohio Revised Code. <br />(b) It has performed all acts required of it as a condition to signing and delivering this <br />Agreement. <br />(c) It is not in violation of any laws of Ohio to an extent that would impair its ability <br />to carry out its obligations under this Agreement. <br />(d) It has the power to enter into and perform its obligations under this Agreement. <br />(e) Its board of directors has duly authorized the signing, delivery, and performance <br />of this Agreement. <br />(f) The individual signing below on behalf of NEOSO is an Authorized <br />Representative. <br />Section 3.2. Membership Lists. NEOSO will maintain a master list of all Members of <br />NEOSO, which will be updated on a regular basis. <br />Section 3.3. Competitive Bidding Procurement Process. <br />(a) Development of Procurement Process. NEOSO will act in good faith to develop <br />and implement a procurement process that reflects (i) the collective guidelines of <br />its Members' procurement processes and requirements and (ii) statutory <br />procurement processes and requirements. NEOSO and the Governmental Entity <br />acknowledge the likelihood that the procurement processes of the Members, <br />individually, may be in conflict with one another or vary from one another. <br />(b) Publication of Procurement Process. NEOSO will publish and provide to its <br />Members a copy of the procurement process utilized for each Available Contract. <br />Section 3.4. Audit. <br />(a) Record Retention.
