Further, CONTRACTOR aclcnowledges that although such tows <br />are requested or ordered by NOPD, the services are provided by CONTRACTOR to <br />private individual vehicle owners and billed accordingly. CONTRACTOR'S license is <br />nonexclusive and subject to unilateral termination by CITY at any time, and with or <br />without cause, as provided for in Paragraph 8 below. <br />2. PRICE. CONTRACTOR agrees to follow all the terms and conditions for <br />tow companies performing non-consensual police tows (Exhibit A), including but not <br />limited to schedule of prices, fees and other charges to vehicle owners. T11e <br />CONTRACTOR agrees that the CITY shall not pay for any non-consensual towing <br />services and shall not be financially responsible or liable to CONTRACTOR for any such <br />prices, fees or other charges to vehicle owners which CONTRACTOR, for any reasan <br />whatsoever, is unable to collect. <br />3. TERM. CITY and CONTRACTOR agree that, upoil execution, this <br />Agreement shall be in force and renlain in effect, and that the CONTRACTOR shall <br />accordingly be licensed during such period to provide non-consensual police tows for the <br />North Olmsted Police Department, until the Agreement is terminated by either party, with <br />or without cause, in accordance with the provisions of Paragraph 8 below. <br />4. CERTIFICATION. CONTRACTOR hereby certifies compliance with the <br />terms and conditions for non-consensual police tows (Exhibit A) and agrees to maintain <br />ongoing compliance therewith, upon such further certification and report as may be <br />requested by the Chief of Police or Director of Public Safety, on behalf of the CITY. <br />CONTRACTOR shall immediately talce such measures as are necessary to reinedy any <br />and all performance deficiencies or other noncompliance with Exhibit A, however <br />described, and notify the CITY of such corrective action talcen within ten (10) days. <br />5. SUBCONTRACTORS. CONTRACTOR shall not use or deploy any towing <br />subcontractors on its behalf and to perform non-consensual towing services herein. <br />6. AUTHORITY OF PUBLIC SAFETY DIRECTOR. All services to be <br />performed under the Agreement shall be done under the observation of the Clzief of <br />Police, who shall report to the Director of Public Safety, or in her absence, to the Mayor. <br />The Director or Mayor, in cooperation with such other CITY official(s) having the <br />authority to do so, shall decide any and all questions which may arise as to the <br />performance of the Licensing Agreement. <br />7. NONDISCRIMINATION. CONTRACTOR agrees to comply with all <br />applicable federal, state, county, and local laws regarding noizdiscrimination, and <br />specifically agrees not to refuse to employ or refuse to continue in any employment, any <br />person on account of race, color, religion, creed, sex, national origin, or disability. <br />8. TERMINATION. The CITY and CONTRACTOR aclaiowledge and agree <br />that this non exclusive licensing agreement may be terminated by either party at any tirne, <br />with or without cause, upon the delivery of thirty (30) days advance written notice to #he <br />2 <br />
