WHEREAS, the Board of Control of the City of North Olmsted, on February , 2004, <br />approved the within contract with Outside Counsel, and on <br />2004 authorized an <br />amended contract with an increased maximum expenditure as authorized pursuant to Ordinance <br />No. 2004- <br />NOW, THEREFORE, in consideration of the mutual agreements contained herein and <br />subject to the terms and conditions stated below it is agreed by the parties as follows: <br />1. Professional Services To Be Performed: Outside Counsel shall assist the Director of <br />Law in matters relating to labor negotiations with the City's bargaining units, particularly <br />regarding mediation, fact-finding and conciliation, as we11 as other proceedings, includins the <br />prosecution and defense of unfair labor aractices and grievance arbitrations t6at are <br />related to labor-management subiects relevant to the Citv's current labor netotiations. <br />2. Time of Performance: The services of Outside Counsel shall commence as of the <br />effective date of this Contract, and conclude no later than the date upon which the 20041abor <br />negotiations and any subsequent dispute resolution proceedings with the City's bargaining units <br />end. <br />3. Payment of Fee: The City shall pay to Outside Counsel, and Outside Counsel agrees to <br />accept as full payment for the professional services furnished under this Contract, an amount of <br />money not to exceed the total or aggregate sum of Thii-7ty Sia Thousand Dollars ($60,000). <br />That sum shall be paid intermittently on the basis of statements rendered by Outside Counsel to <br />the City at the following rates: <br />(a) Attorney Gary Johnson -$205. per hour; <br />(b) All other firm attorneys -$175. per hour. <br />for work actually performed for the City, either in or out of court or other proceedings. <br />2 <br />
