FIRST AMENDED CONTRACT FOR OUTSIDE LEGAL COUNSEL <br />THIS FIRST AMENDED CONTRACT effectively made and entered into in North <br />Olmsted, Ohio, on the day of , 2004, between the City of North Olmsted, <br />an Ohio municipal corporation (hereinafter, "the City"), 5200 Dover Center Road, North <br />Olmsted, Ohio, and the Law Firm of Johnson, Angelo & Colaluca, L.L.C., Attorneys and <br />Counselors at Law (hereinafter, "Outside Counsel"), having offices at 1700 North Point Tower, <br />1001 Lakeside Avenue, Cleveland, Ohio 44114, witness: <br />WHEREAS, Article V, Section 2 of the North Olmsted Charter provides that the Director <br />of Law, with the approval of City Council, may retain outside counsel to assist him/her in <br />performing any of the duties of his/her office; and, <br />WHEREAS, the Director of Law, has determined that outside legal counsel in matters <br />relating to the current labor negotiations with the City's bargaining units, particularly regarding <br />mediation, fact-finding and conciliation, is necessary; and <br />WHEREAS, Outside Counsel is ready, willing and able to assist the Director of Law in <br />such labor negotiation matters; and <br />WHEREAS, the Council of the City of North Olmsted, on February 12, 2004, adopted <br />Ordinances No. 2004-18 and 2004 - , authorizing the Director of Law to retain the services of <br />Outside Council, and the Mayor to enter into a contract and amended contract with Outside <br />Counsel; and <br />
