City of North Olmsted, NY? i xxx xxxx 34 <br />Peripheral is any device that is added to the central computer such as, but not limited <br />to, the disk drive, tape drive, modems, mice, scanners, printers, multiplexors, etc. <br />Perpetual License means an irrevocable, unconditional license granted to CITY in <br />perpetuity at no additional fee, by the VENDOR and SUB CONTRACTORS of the <br />software. The terms of which are binding upon the owner, its heirs, assigns and <br />successors-in-interest. <br />POS (Point-of-Sale) Stations means workstations that include a bar code scanner <br />and receipt printer designed to look up a customer account for all receivables due, <br />receive cash or checks from the customer, post the amount to a receiving journal, and <br />provide a receipt to the customer. <br />Product means hardware, peripherals, software, documentation, including manuals, <br />and any other information confidential to VENDOR or its licensors. <br />Proprietary Information means information developed by VENDOR that is alleged <br />and noted as proprietary information. <br />System Configuration means the hardware, server, workstations, peripherals, <br />cabling, local area network, and other communications devices related to the physical <br />installation. <br />RFP is the Request For Proposal issued by CITY. <br />Software means the source code and compiled object code version of computer <br />programs and any related documentation, excluding maintenance diagnostics. <br />Third Party Software means any software not developed by VENDOR. <br />Training means dedicated professional education about all software and hardware <br />listed in this agreement. Training may consist of both structured classroom training <br />and individual operator training and assistance in "live data" situations. Training does <br />NOT include fit analysis and installation activities A log will be signed daily by <br />VENDOR and CITY affirming hours expended by VENDOR. <br />Workstation means a CRT, VDT or Personal Computer. <br />Prepared by Barry Strock Consulting Associates, Inc. ?O 2004
