City of North Olmsted, / xxx xxxx ? - 33 <br />Section III: DEFINITIONS <br />For purposes of this Agreement, these terms have the meanings indicated: <br />Acceptance means the test applied and approved by CITY prior to payment for any <br />item. Acceptance means that all functions as proposed in the RFP, Proposal, Fit <br />Analysis, checklist of pre-contractual issues, and other correspondence, shall perform <br />accordingly. <br />Acceptance Certificate means the formal sheet that is signed by CITY prior to <br />payment that affirms the acceptance test. <br />Application Software is that software owned or marketed by VENDOR that was <br />proposed to CITY in RFP to meet CITY's needs. <br />Appurtenances means peripherals, CPU, communications, electronic cards, adapters, <br />connectors, etc. <br />Authorization to Proceed is a formal document that is signed by CITY prior to <br />VENDOR ordering any products or services. <br />PRIME VENDOR means VENDOR who will provide software and hardware listed <br />in the exhibits of this agreement. <br />CPU means the processing unit to be installed at CITY. <br />Documentation means the formal printed paper manuals that include descriptive <br />materials and screen displays of all applicable screens and screen choices in the <br />proposed and modified application software. <br />Fit Analysis means all hours provided by VENDOR or its subcontractors to fit their <br />software to CITY requirements compliant with VENDOR's RFP response and <br />proposal Addenda. <br />F.O.B. means delivery and installation in place at CITY designated locations. All <br />products are to be accepted at CITY F.O.B. CITY. <br />Hardware means server, workstations, peripherals or any other hardware listed in <br />this agreement. <br />Installation Activities means any and all hardware and software configuration <br />activities, software loading, software testing, etc., whether performed at North <br />Olmsted, Ohio or at the VENDOR's site. <br />Migrate Software means that all screens, reports, functions and calculations that <br />were included in the RFP and as amended by VENDOR's proposal shall be fully <br />functional on the server and operating system installed by the VENDOR. <br />Prepared by Barry Strock Consulting Associates, Inc.
