.. <br />City of North Olmsted, NY? / xxx xxxx 28 <br />EE. AUTHORIZATION TO PROCEED <br />The project will be defined in phases for hardware and application software, and each <br />phase will require an authorization to proceed. The documents authorizing VENDOR <br />to proceed must be signed by CITY authorities prior to permitting VENDOR to <br />proceed with the installation of successive application modules or the ordering of <br />hardware or peripherals. VENDOR and CITY shall coordinate implementation <br />schedules contained in Exhibits herein and may, by mutual agreement, amend said <br />schedules as necessary. Subject to the availability of approved and appropriated <br />funding, CITY will not unreasonably withhold authorization and will not unreasonably <br />delay initiation of phases. This representation shall not create or impose upon the <br />CITY any obligation, duty or liability to VENDOR to approve and appropriate any <br />funds beyond those actually approved and appropriated. <br />FF. ACCEPTANCE CERTIFICATES <br />Each phase will have pre-defined payment tenns which will require the signatures of <br />the CITY's Mayor or his designee (CITY Project Manager) as a prerequisite of <br />authorization of payment. CITY will not unreasonably withhold acceptance <br />certification. <br />GG. PERMITS AND LICENSES <br />VENDOR shall secure and take out all necessary licenses, certificates and permits from <br />any municipality or other public authority, which may be required in connection with <br />the work contemplated by this Agreement, or any part thereof, and shall give all <br />notices required by any statute, law, ordinance, rule or regulation.
