WORK CHANGES <br />The terms, provisions and conditions of this Agreement may only be modified or <br />changed if said modifications or changes shall be in writing and signed by both parties. <br />CITY reserves the right to order work changes in the nature of addition, deletions or <br />modifications, without violating this Agreement, and agrees to make corresponding <br />changes in the contract price consistent with Exhibits in this Agreement. VENDOR <br />shall be consulted with regard to any work changes to ascertain the feasibility of said <br />change and to coordinate said change with the balance of the project. In the event that <br />CITY shall elect to purchase fewer items of hardware than the quantities listed in said <br />Exhibit - it shall have the right to do so at the unit price shown for said item therein. <br />All changes shall be authorized by written change orders signed by the CITY's Mayor <br />or his designee (CITY Project Manager) of CITY, as authorized by the CITY. The <br />change order will include conforming changes in the Agreement. CITY cannot <br />request any changes without VENDOR's written approval once an order has been <br />placed for products or work initiated on services and application software <br />modifications. CITY agrees to pay for effort and cancellation fees incurred by <br />VENDOR. The CITY may desire additional items beyond those itemized in this <br />Agreement. These may be additional units, parts desired but not requested in the RFP, <br />etc. The CITY may submit written change orders to purchase these items. This is not <br />to be used for pricing errors or items that are scheduled already as deliverable. <br />II. MANUALS AND DOCUMENTATION <br />Concerning all hardware, operating and applications software, VENDOR shall furnish <br />to CITY at no additional cost the following manuals in hard copy volumes: <br />3 - Users manuals <br />2 - Systems manuals <br />2 - Operating manuals <br />As long as maintenance agreements are in force, VENDOR further agrees to furnish to <br />CITY at no additional cost any updates and/or revisions to said manuals published <br />and/or released during the term of this Agreement if a maintenance contract has been <br />continuously in effect by CITY. <br />Prepared by Barry Strock Consulting Associates, Inc.
